This page describes the ownership of the Adam Invoicing software and the EU regulations that apply to its use. This page is maintained by Return2Galaxy Unip. Lda. and does not constitute legal advice.

The Adam Invoicing software, including but not limited to its source code, database schema, UI/UX, brand, visual identity, templates, documentation, and all accompanying materials (collectively, the "Software") is the exclusive intellectual property of Return2Galaxy Unip. Lda., a company incorporated in Portugal.

2. License

No license is granted, whether express or implied, to any person to copy, reproduce, distribute, resell, sublicense, publicly display, modify, decompile, reverse-engineer, or create derivative works from the Software, in whole or in part, without prior written authorization from Return2Galaxy Unip. Lda.

Access to Adam Invoicing is provided as a hosted service under a limited, non-exclusive, non-transferable, revocable right of use, subject to the applicable subscription plan and terms of service. That right of use does not transfer any ownership of the Software.

3. Prohibited Conduct

  • Copying, cloning, mirroring, or scraping any part of the Software or its output.
  • Reselling, sublicensing, or redistributing the Software to third parties.
  • Removing, hiding, or altering any copyright notice, trademark, or attribution.
  • Using the Software to build a competing product or service.

Violations will be prosecuted to the fullest extent permitted by Portuguese, EU, and international law.

4. Trademarks

"Adam Invoicing" and its logo are trademarks of Return2Galaxy Unip. Lda. Third-party names and logos are the property of their respective owners and are used only for identification.

5. EU Regulatory Notices

The Software is designed to help businesses established in the European Union comply with, among others, the following regulations:

  • General Data Protection Regulation (GDPR) — Regulation (EU) 2016/679. Personal data is processed lawfully, fairly, and transparently. Data subjects can exercise their rights of access, rectification, erasure, restriction, portability, and objection by contacting the operator.
  • Council Directive 2006/112/EC on the common system of Value Added Tax (VAT Directive) and national implementations. The Software supports EU VAT identification numbers, VIES validation, and country-appropriate tax rates.
  • Directive 2014/55/EU on electronic invoicing in public procurement where applicable.
  • Regulation (EU) 2022/2065 (Digital Services Act) and Regulation (EU) 2022/1925 (Digital Markets Act) as they apply to the operator's role as a service provider.
  • ePrivacy Directive 2002/58/EC (as amended by 2009/136/EC) for the use of cookies and similar technologies.
  • For customers established in Spain, the Software follows the Spanish invoicing rules set out in Real Decreto 1619/2012 and the record-keeping obligations of Ley 58/2003 (Ley General Tributaria), including gap-free sequential invoice numbering per series and per year.

Compliance with these regulations remains the responsibility of the end user with respect to their own business data and customers.

6. Data Processing

Return2Galaxy Unip. Lda. acts as a data processor in respect of customer, invoice, and payment data uploaded by users. Data is stored in EU-region infrastructure and protected by row-level security so each account's data is isolated from other tenants.

7. Limitation of Liability

The Software is provided "as is" without warranties of any kind. To the maximum extent permitted by law, Return2Galaxy Unip. Lda. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to the use of the Software.

8. Governing Law

These terms are governed by the laws of Portugal and the applicable law of the European Union. Any dispute arising from or in connection with the Software shall be submitted to the exclusive jurisdiction of the competent courts of Lisbon, Portugal, without prejudice to any mandatory consumer-protection rules of the user's country of residence.
